These Terms of Service ("Terms") are a legally binding agreement between you and YOUR TOWN SQUARE LLC ("TownSquare,""we," "us"). By accessing or using our websites, products, or services (collectively, the "Services"), you agree to these Terms. If you do not agree, do not use the Services.
1) What TownSquare Is (and Isn’t)
Directory, not an agent. TownSquare is an online directory that helps travelers discover short‑term rental listings and helps hosts promote their properties and link to their own direct‑booking sites.
No bookings or payments for stays. We do not collect or hold guest payments for lodging, do not broker or manage bookings, and are not a party to rental agreements between travelers and hosts.
Hosts are responsible. Each host is solely responsible for the accuracy, legality, and availability of their listings, and for honoring their own terms, policies, and applicable laws.
2) Eligibility & Accounts
You must be at least 18 years old and have authority to enter contracts. You agree to provide accurate information and keep it current. We may refuse, suspend, or terminate accounts or listings that violate these Terms or applicable law.
3) Subscriptions, Billing, and Taxes Plans.
Hosts may purchase recurring subscription plans (e.g., Economy, Standard, Premium, Multi‑listing) for listing placement and features.
Auto‑renew. Subscriptions renew automatically each billing period until canceled.
Cancellation. You may cancel anytime effective at the end of your current billing period (service continues through the period you already paid for).
No refunds. All fees are non‑refundable, including for partial periods, downgrades, or unused Services, except where required by law. Price changes. We may change plan pricing or features prospectively; we’ll provide notice where required.
Taxes. Fees are exclusive of taxes. Applicable taxes will be calculated and collected at checkout. You are responsible for any additional taxes or fees required by your jurisdiction.
Payment processing. Payments are processed by third‑party provider(s) (e.g., Stripe) and are subject to their terms. We do not store full payment card numbers.
Chargebacks & delinquency. Unresolved chargebacks or failed renewals may result in suspension or removal of listings.
4) Listings & Host Responsibilities
Accuracy. You represent and warrant that your listings are accurate, not misleading, and comply with all laws (including zoning, safety, licensing, and consumer‑protection laws).
Permissions. You have all rights and permissions (including images, logos, and text) to post the listing content you submit.
Quality & moderation. We may review, edit, or remove listings at our discretion (e.g., for quality, trust, or legal reasons) without obligation to monitor all content.
Prohibited content. No illegal, infringing, fraudulent, discriminatory, pornographic, or spam content; no malware or attempts to scrape or overload the Service.
5) Your Content & License to Us
You retain ownership of content you submit. You grant TownSquare a worldwide, non‑exclusive, royalty‑free license to host, store, reproduce, display, and distribute your content solely to operate, market, and improve the Services. You grant us the right to use your name, logo, and listing images to identify you as a customer and to promote the Services (you may opt out by contacting us).
6) Intellectual Property; Feedback
The Services, including our brand, UI, and software, are protected by IP laws. Except as allowed by these Terms, you may not copy, modify, reverse engineer, or create derivative works of the Services. Feedback you provide may be used by us without restriction.
7) Acceptable Use
You agree not to:
Violate any laws, third‑party rights, or these Terms;
Misrepresent listings or impersonate others;
Attempt to probe, scan, or test the vulnerability of the Services;
Use automated means (scrapers, bots) without permission;
Upload malware or interfere with the Services’ operation.
8) Third‑Party Services
The Services may link to third‑party websites or integrate third‑party tools (e.g., Stripe, analytics, automation, hosting). We are not responsible for third‑party sites or services and they may be governed by their own terms and privacy policies.
9) Disclaimers As‑is.
The Services are provided “as is” and “as available.” We disclaim all warranties to the fullest extent permitted by law, including merchantability, fitness for a particular purpose, and non‑infringement.
No endorsement. We do not endorse or guarantee any host, property, or listing, and we are not responsible for traveler experiences, safety, or compliance.
10) Limitation of Liability
To the fullest extent permitted by law, TownSquare and it saffiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, or goodwill. Our aggregate liability for claims relating to the Services will not exceed the greater of (a) the amounts you paid to us in the 12 months before the claim arose, or (b) $100.
11) Indemnification
You agree to indemnify and hold harmless TownSquare, its affiliates, and personnel from any claims, losses, and expenses (including attorneys’ fees) arising from or related to your listings, your use of the Services, or your violation of these Terms or applicable law.
12) DMCA / Copyright Complaints
If you believe content infringes your copyright, send anotice to support@yourtownsquare.com with: (1) your contact info; (2)the work claimed to be infringed; (3) the material’s URL; (4) a statement of good‑faith belief; (5) a statement under penalty of perjury of accuracy and authority; and (6) a physical or electronic signature of the copyright owner or authorized agent.
13) Governing Law; Dispute Resolution
Governing law & venue. These Terms are governed by the laws of the State of Michigan without regard to conflicts rules. Courts located in Newaygo County, Michigan will have exclusive jurisdiction.
Informal resolution first. Before filing a claim, the complaining party must send a notice to support@yourtownsquare and both parties will attempt to resolve the dispute in good faith within 30 days.
14) Changes to the Services or Terms
We may modify the Services and these Terms from time to time. Material changes will be posted with an updated "Last updated" date. Continued use after changes means you accept the updated Terms.
